TERMS AND CONDITIONS OF SALE

1. General Provisions

1.1. These Terms and Conditions of Sale (hereinafter – the Terms) constitute a legally binding document governing the rights and obligations of the Buyer and the Seller (hereinafter – the Seller) in relation to purchases made in the electronic store.
1.2. The Seller reserves the right to amend, modify, or supplement these Terms at any time. Amendments take effect upon publication on the electronic store’s website.
1.3. Information about the Seller, including the company name, legal form, registration number, registered address, and contact details, is provided on the electronic store’s Contacts / About Us page and forms an integral part of these Terms.


2. Conclusion of the Purchase–Sale Agreement

2.1. A purchase–sale agreement between the Buyer and the Seller shall be deemed concluded when the Buyer submits an order in the electronic store after confirming familiarity with these Terms.


3. Seller’s Rights

3.1. In the event of important circumstances, the Seller may temporarily or permanently suspend the operation of the electronic store. Where possible, the Buyer shall be informed in advance, except where such notice is impossible due to objective reasons.
3.2. If the Buyer attempts to damage the operation, stability, or security of the electronic store or violates their obligations, the Seller has the right to restrict or suspend the Buyer’s access to the electronic store without prior notice.


4. Seller’s Obligations

4.1. The Seller undertakes to provide the Buyer with access to the electronic store services in accordance with these Terms.
4.2. The Seller undertakes to deliver the goods purchased by the Buyer using the delivery method selected by the Buyer, under the conditions set out in these Terms.
4.3. If, due to unforeseen circumstances, the Seller is unable to deliver the ordered goods, the Seller has the right to terminate the purchase–sale agreement after informing the Buyer. The Seller may offer an alternative product. If the Buyer refuses, the Seller shall refund all amounts paid within 3 (three) business days.
4.4. If the Buyer exercises the right of withdrawal under Clause 5.2, the Seller shall refund all amounts paid by the Buyer no later than 14 (fourteen) calendar days from the day the Seller receives notice of withdrawal.
4.5. The Seller may withhold the refund until the goods are returned or until the Buyer provides proof that the goods have been sent back, whichever occurs first.


5. Buyer’s Rights

5.1. The Buyer has the right to purchase goods in the electronic store in accordance with these Terms.
5.2. The Buyer has the right to withdraw from the purchase–sale agreement within 14 (fourteen) calendar days from the date of delivery of the goods, without providing any reason, by notifying the Seller in writing.
5.3. The right of withdrawal may be exercised only if the goods have not been damaged, used, or altered beyond what is necessary to determine their nature, characteristics, and functioning.
5.4. The Buyer may exercise the right of withdrawal by submitting a clear written statement or by using the standard withdrawal form available on the Seller’s website.


6. Buyer’s Obligations

6.1. The Buyer must pay for the purchased goods and accept delivery in accordance with these Terms.
6.2. If the Buyer, without valid reasons, refuses to accept the goods upon delivery, the Buyer must cover the return costs of the goods at the Seller’s request.
6.3. Upon delivery, the Buyer must inspect the condition of the shipment and the goods together with the Seller or the delivery service representative.
6.4. By using the electronic store, the Buyer confirms acceptance of these Terms and undertakes to comply with them.


7. Prices of Goods

7.1. All prices in the electronic store are indicated in euros and include VAT, where applicable. Delivery costs, if any, are added to the total order amount at checkout.


8. Ordering and Payment

8.1. The Buyer selects goods in the electronic store and adds them to the shopping cart. To complete the order, the Buyer provides personal data necessary for order fulfillment: name, surname, delivery address, telephone number, and any additional information relevant to delivery.
8.2. By confirming the order, the Buyer confirms that they have read and agree to these Terms.
8.3. Payments may be made using Swedbank, SEB, Luminor, Citadele, Šiaulių Bank electronic banking services, as well as Visa / MasterCard payment cards. Payments are processed via the MakeCommerce.lt payment platform. All payments are made in euros.


9. Delivery of Goods

9.1. The Buyer must provide an accurate delivery address when placing an order.
9.2. The Buyer must accept the goods personally. If the goods are delivered to the address specified by the Buyer, the Buyer has no right to raise claims regarding delivery to an inappropriate person.
9.3. Goods are delivered in accordance with the delivery terms specified in the product descriptions.
9.4. Product characteristics are described in each product listing. The Seller is not responsible for discrepancies in color, shape, or other parameters resulting from the Buyer’s display settings or device characteristics.
9.5. In the event of withdrawal from the purchase–sale agreement, all amounts paid by the Buyer, including delivery costs, shall be refunded in accordance with these Terms.


10. Return of Goods

10.1. Goods of proper quality may be returned within 14 (fourteen) calendar days from the date of receipt. Defective goods are handled in accordance with the Civil Code of the Republic of Lithuania.
10.2. When returning goods, the following conditions apply:
10.2.1. Returned goods must be properly packaged to ensure safe transportation. The absence of original packaging alone shall not constitute grounds for refusal of return, unless the packaging is an essential part of the goods.
10.2.2. The goods must not be damaged by the Buyer.
10.2.3. The goods must be unused and retain their commercial appearance, except to the extent necessary to inspect them.
10.2.4. The goods must be returned in the same complete set as received, unless the goods are defective.
10.2.5. The Seller has the right to refuse a return if the return conditions are not met.
10.2.6. Goods must be returned within 14 (fourteen) calendar days from the date of receipt, except for defective goods, which may be returned within the statutory warranty period.
10.3. The return and exchange of goods of proper quality are carried out in accordance with Article 6.228¹⁰ of the Civil Code of the Republic of Lithuania.
10.4. Refunds shall be made using the same payment method used by the Buyer, unless expressly agreed otherwise, no later than 14 (fourteen) calendar days from receipt of the withdrawal notice.
10.5. In the event of withdrawal, the Buyer bears the direct costs of returning the goods, unless the Seller agrees to cover such costs.


11. Final Provisions

11.1. These Terms are drawn up in accordance with the laws of the Republic of Lithuania and applicable European Union legislation.
11.2. These Terms and all legal relations arising from them shall be governed and interpreted in accordance with the laws of the Republic of Lithuania.
11.3. Any disputes arising from the implementation of these Terms shall be resolved through negotiations. If no agreement is reached, disputes shall be resolved in accordance with the procedure established by Lithuanian law.
11.4. The Parties shall not be held liable for failure to perform obligations if such failure is caused by circumstances beyond their reasonable control (force majeure).
11.5. The Buyer has the right to submit complaints to the State Consumer Rights Protection Authority (VVTAT) or to resolve disputes via the European Union Online Dispute Resolution (ODR) platform.
